These Terms and Conditions ("Terms") govern your use of https://perks.3one4capital.com/ ("Platform"). By accessing or using the Platform, you agree to be bound by these Terms and these Terms are governed by the laws of India. These Terms constitute an electronic record in terms of the Information Technology Act, 2000 and rules thereunder. By accessing or using the Platform, the User agrees to be legally bound by these Terms, as amended from time to time. If you do not agree to abide by these Terms for any reason, please do not use the Platform. 

  1. Purpose and Nature of the Platform

The Platform is developed and operated by 3one4 Capital Advisors LLP (“3one4 Capital”) to exclusively facilitate access to curated discounts on selected third-party software tools, products, and services for founders of its portfolio companies. The Platform is intended solely as an informational repository to aggregate vendor offers and streamline benefit discovery. It does not function as an e-commerce portal, marketplace, or a communication channel between users and vendors. The Platform does not support transactional activities, payment for services or user-generated content. All offer redemptions are handled externally via vendor-controlled processes directly on the vendor’s website or such other methods as determined by the vendor at its sole discretion. Users are required to review and agree to the respective vendor terms before proceeding with the any interaction or engagement with such third-party vendors. 

  1. No Offer or Solicitation 

Nothing on this Platform shall be construed as an offer to invest, solicit capital, or recommend any investment opportunity, whether directly or indirectly. 3one4 Capital is a registered alternative investment fund manager and acts in accordance with applicable securities laws and SEBI regulations. The listing of third-party tools or service providers is done strictly for the benefit of its portfolio company founders and shall not be interpreted as a commercial endorsement or guarantee of product quality, pricing, usability, or effectiveness of such third-party tools or service provides. 3one4 Capital  or its affiliates do not receive compensation or commission in exchange for vendor participation on the Platform.

The Platform and the content made available herein are intended solely to provide information about select third-party tools, services, and negotiated discounts available to founders of 3one4 Capital’s portfolio companies. The Platform does not constitute marketing or promotional material for any fund managed by 3one4 Capital. It is not intended to, and does not, create or imply any investor relationship, fiduciary obligation, or commitment on the part of 3one4 Capital to invest in any person, company, or product.

Your access to or use of the Platform does not entitle you to any rights, entitlements, or preferences with respect to investments managed by 3one4 Capital. All investment decisions of 3one4 Capital are made independently and at its sole discretion. Nothing on this Platform shall be interpreted as binding 3one4 Capital or its affiliates to (i) make or consider any investment in any third party; or (ii) accept any form of application or proposal from users of this Platform.

If access to the Platform or its content is unlawful or restricted in your jurisdiction, you must not use the Platform. You are solely responsible for ensuring compliance with all local laws and regulations that may apply to you.

Nothing in this Platform shall be an obligation or be deemed to be an obligation on 3one4 Capital or any of its funds to (i) accept investments into any fund managed by 3one4 Capital or otherwise; and / or (ii) make any investment into any entity or person.

The information contained on the Platform and the content is provided by us for information purposes only and is subject to change without notice. 3one4 Capital does not accept any responsibility for any loss which may arise from reliance on information or content published or made available through this Platform.

ALL CONTENT IS PROVIDED "AS IS," MAY NOT BE RELIED UPON FOR ANY PURPOSE, AND IS NOT SUBJECT TO EXPRESS OR IMPLIED WARRANTIES OF ANY KIND. Nothing contained in, or presented on, this Platform or the content constitutes or shall be construed to constitute investment, legal, tax, or other advice of any kind, nor is it to be relied upon in relation to making an investment or any other decision. You are recommended to obtain relevant and specific professional advice where appropriate.

3one4 Capital and its officers, directors, managers, partners, members, shareholders, employees, affiliates, and agents make no representations or warranties and specifically disclaim any and all warranties of any kind, express or implied, with respect to the Platform and any content therein, including any representations or warranties with respect to merchantability, fitness for a particular purpose, title, non-infringement, availability, security, accuracy, freedom from viruses, malware or other damaging software, completeness, timeliness, functionality, reliability, sequencing, or speed of delivery.

You should be aware that a significant portion of the content includes or consists of information that has been provided by third parties and has not been validated or verified by 3one4 Capital. In connection with our investment activities, 3one4 Capital often becomes subject to a variety of confidentiality obligations to funds, investors, portfolio companies, and other third parties. Any statements made by 3one4 Capital may be affected by those confidentiality obligations, with the result that 3one4 Capital may be prohibited from making full disclosures. Without limitation on the effect of other warnings and disclaimers set forth in these Terms, you should interpret any statements 3one4 Capital makes (on this Platform or otherwise) in that context. 3one4 Capital reserves the right to cease providing, or to change, the Platform and the content (or any portion or feature thereof) at any time or frequency and without notice. All content on the Platform is presented only as of the date published or indicated and may be superseded by subsequent market events or for other reasons. Any transactions or examples described on the Platform are for illustrative purposes only and may not be representative of all transactions engaged in by 3one4 Capital.

Although certain individuals may be identified on the Platform as ‘venture partner’, ‘director’, or ‘executive’, such titles reflect business usage that is customary within the venture capital and private equity industry and are not intended to indicate that any such individual is actually a partner of any partnership or director of any company as those terms are used for legal purposes.

  1. Eligibility

Access to and use of the Platform is restricted to person(s) with whom a referral link or registration link have been shared by 3one4 Capital. Unauthorized access, impersonation, or misrepresentation of association with a 3one4 portfolio company is strictly prohibited. 3one4 Capital reserves the right to verify user identity and affiliation at any time and may suspend or terminate access in case of any suspicion of misuse. 3one4 Capital assumes no responsibility whatsoever for any liabilities arising out of unauthorized access to your password or login credentials, or unauthorised sharing of the referral link or registration link.

Without prejudice to the provisions above, you agree to immediately inform 3one4 Capital in writing if you suspect or discover any unauthorised use of your ID, password or credentials, or notice any discrepancies that may be attributable to such unauthorised access, or discover a security flaw in the Platform. You shall provide 3one4 Capital with complete details of such unauthorised use, including the date of such unauthorised use, the manner in which it occurred, the transactions effected pursuant to such unauthorised use, etc. You also agree to inform 3one4 Capital immediately if they are unable to retrieve your password or login credentials.

You agree to notify 3one4 Capital immediately on a priority basis in case you discover any security flaws or vulnerabilities in the Platform or any other components of the Platform.

  1. Your Conduct while using the Platform

While you access, use, or otherwise interact with the Platform and the information made available through it (“Material”), you shall not:

  1. Interfere or attempt to interfere with the proper functioning of the Platform or any activity being facilitated through it;
  2. Restrict or inhibit any other authorized user from accessing or using the Platform;
  3. Attempt to decipher, decompile, disassemble, or reverse engineer any part of the software or systems that constitute or support the Platform;
  4. Attempt to gain unauthorized access to the Platform or violate its security architecture;
  5. Exploit any of the content commercially, forward it as a mass distribution, post it on another site, or otherwise copy, distribute, delete or modify any portion of the Platform;
  6. Copy, distribute, publish, modify, repost, transmit, commercially exploit, or mass forward any content from the Platform, or upload the same to another website or application without prior written consent from 3one4 Capital;
  7. Violate any applicable law, regulation, or third-party rights, including intellectual property or contractual rights, in connection with your use of the Platform;
  8. Frame or deep-link to any specific page, resource, or content from the Platform without appropriate authorization;
  9. Access or attempt to violate the security of the Platform or use or gain access to the identities, information or computers of others through the Platform;
  10. Frame or link to any of the materials or information available on the Platform;
  11. Access data or parts of the Platform not intended for your use or login using credentials that are not assigned to you;
  12. Probe, scan, or test the vulnerability of any network or system connected to the Platform, or breach or circumvent authentication or security measures;
  13. Interfere with service to any user, host, or network;
  14. Disrupt, overload, or interfere with the availability or stability of the Platform or any network or server related to it;
  15. Knowingly introduce viruses, trojans, worms, logic bombs, or other materials that are malicious or technologically harmful ("Viruses") to the Platform or associated systems;
  16. Attempt to gain unauthorized access to the server on which the Platform is hosted, or any other server, computer, or database connected to the Platform;
  17. Launch or attempt to launch a denial-of-service attack or similar attempt to disrupt the operation of the Platform; and / or
  18. Circumvent or interfere with any feature that restricts or enforces limitations on the use or access of the Platform, including security or monitoring features.

By breaching any of the provisions of this Clause, you may be liable for prosecution under applicable law, including the Information Technology Act, 2000 and any other applicable law. 3one4 Capital reserves the right to report any such breach to relevant law enforcement authorities and will co-operate with such authorities by disclosing your identity or any other relevant information.

In the event of a breach, you must immediately cease access to or use of the Platform and any related materials. 3one4 Capital shall not be responsible for any loss, damage caused, or harm suffered by you or others due to denial-of-service attacks, Viruses that may infect your computer equipment, computer programs, data , or other proprietary material due to your use of this Platform or to downloading of any Material, malicious code introduced via the Platform or any website linked from it.

You agree to report to 3one4 Capital without delay any suspected or actual incidents involving suspected or actual unauthorized access, disclosure, alteration, damage, loss, or destruction of any data relating to the Platform that comes to your knowledge.

Your permission to access, use, or otherwise deal with the Platform (including the Material) granted by these Terms, the Platform shall automatically and immediately terminate upon your breach of any of these Terms. 

  1. User Obligations

By using the Platform, users agree to:

  1. Provide true, accurate, and up-to-date information, including name, company affiliation, and contact details, solely for the purpose of offer validation and redemption.
  2. Use the Platform and any discount codes or redemption links for internal, non-commercial purposes only within the organization they represent.
  3. Not share, transfer, resell, or publish any discount-related information externally or with unauthorized persons.
  4. Refrain from any misuse or unauthorized attempts to access other users’ information, manipulate Platform functionality, or circumvent verification protocols.
  5. Comply with all applicable local, national, and international laws and regulations governing online usage, data sharing, and fair digital conduct.

7. Intellectual Property

Whether separate or compiled, including, but not limited to, text, graphics, audio-visual works, logos, buttons, images, digital downloads, data compilations, software, icons, html code and xml code, as well as all copyright, patent, trademark, trade dress, and other rights therein, are owned or licensed by 3one4 Capital and its third-party information providers, and are protected by Indian and international intellectual property laws. Nothing contained on the Platform should be construed as granting, by implication, estoppel, or otherwise, any license or right to use, copy or display any content or trademark displayed on the Platform without the written permission of 3one4 Capital or such other party that may own the content or trademark displayed on the Platform. You may not reproduce (in whole or in part), transmit (by electronic means or otherwise), modify, link into or use the Platform for any public or commercial purpose without the prior written consent of 3one4 Capital. All trademarks, trade names and logos shown on this Platform are the property of 3one4 Capital including the logo of 3one4 Capital.

8. Vendor Listings and Offers

  1. The information regarding access to third-party vendor tools, services, offers, discounts pricing, eligibility, and redemption processes is as provided directly by vendors or sourced from publicly available vendor materials. 3one4 Capital does not independently verify or validate such content and assumes no liability for its accuracy, completeness, or continued availability. The information provided on the Platform is provided to the Users on an "AS IS, WHERE IS" basis.
  2. All engagements initiated by you after accessing an offer through the Platform are solely between you and the vendor. 3one4 Capital is not a party to any such agreement and is not liable for vendor performance, support, or compliance.
  3. 3one4 Capital does not guarantee the accuracy, integrity or quality of any content/services/product provided by the third-party vendor. 
  4. The User’s interactions with such third-party vendor found on or through the Platform, including terms of engagement, payment for services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between the Users and the third-party vendor. In no event shall 3one4 Capital be liable for any damages arising out of any interaction between the User and such third-party vendor.

9. Restrictions on Use; No License

3one4 Capital reserves all rights with respect to the design, structure, layout, and content of the Platform. You are not permitted to misappropriate, replicate, reproduce, or otherwise use the design, content, or presentation of the Platform for any purpose not expressly authorized by 3one4 Capital. You must not alter, obscure, or deface any part of the Platform or its contents, whether visually or functionally.

Nothing contained on the Platform shall be interpreted as granting, whether by implication, estoppel, or otherwise, any license or right to use, modify, or exploit any part of the Platform’s design, content, or underlying code. All rights not expressly granted are reserved by 3one4 Capital.

10. Indemnification

You agree to defend, indemnify, and hold harmless the 3one4 Capital, its officers, directors, managers, partners, members, shareholders, employees, affiliates and agents (collectively, “3one4 Parties”) from and against any claims, actions or demands, including, without limitation, reasonable legal and accounting fees, arising or resulting from your breach of these Terms. 3one4 Capital reserves the right to assume the exclusive defence and control of any matter initiated by a third party, which is subject to indemnification under this provision. In such case, you agree to cooperate with any reasonable requests in assisting 3one4 Capitalʼs defence of such matter.

11. Third-Party Websites

You may leave this Platform when you access certain external links via this Platform or shared over email with you by 3one4 Capital. You should be aware that the information and software on those websites have been compiled and issued by entities other than 3one4 Capital and we do not endorse or accept any responsibility for the content of such websites, nor the services or products which may appear on them. 

3one4 Capital does not guarantee that the material on this Platform or the material on external links will be free from infection, viruses, worms, Trojan horses and/or other code that may have contaminating properties. You are advised to review the terms of use applicable to those third-party websites.

  1. Platform Modifications

3one4 Capital reserves the sole right to modify, update, suspend, or discontinue the Platform or any part thereof, including features, layout, content, and third-party vendor listings, at any time without any notice. Any such changes shall be effective immediately upon posting and continued use of the Platform after such changes shall constitute acceptance of the revised Terms.

  1. Privacy Policy

3one4 Capital will only use information provided by user in accordance with its then current Privacy Policy.

  1. Termination of Access

3one4 Capital may restrict, suspend, or terminate any user’s access to the Platform, in whole or in part, at its sole discretion, without prior notice or liability. Grounds for termination may include violation of these Terms, misrepresentation of affiliation, unauthorized sharing of discount codes, or any use deemed detrimental to the Platform’s integrity. Upon termination, any rights granted to the user under these Terms shall cease immediately.

  1. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with all applicable laws of India. All disputes arising out of or in connection with the Terms shall be submitted to the exclusive jurisdiction of the courts of Bengaluru, India.

  1. Entire Agreement and Severability

These Terms constitute the complete and exclusive agreement between the user and 3one4 Capital with respect to access to and use of the Platform and supersede all prior or contemporaneous communications, representations, or agreements. If any provision of these Terms is found to be unlawful, void, or unenforceable for any reason, such provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.
